Compensation structure

Here, indicate the payment models that will be used, whether it is performance based, retainers or affiliate commissions. Also, state how the payments will be made i.e. installments, before or after service delivery. For multi-phase partnerships, add milestone-based payments. For example 30% on signing fee and 70% after completion.

Content rights and licensing

Indicate who will claim ownership of the deliverables. Specify if it will be a full ownership or limited license to use the created content. Also, specify the duration of use, where it will be used, and types of media that will be used. Lastly, include clauses for commercial use and repurposing i.e. paid ads. Clearly differentiate between organic rights (use without payment) and paid use as they carry different fees.

You can also use this section to restrict influencers from accessing or sharing user data or internal analytics. Include NDAs (Non-Disclosure Agreements) to restrict sharing of confidential information to outside parties.

Dispute resolution

Indicate the governing law where the company is based or where the contract was signed and executed. Also, state the methods of conflict resolution to be used, for example, arbitration, mediation, etc. and where it will take place.
